JUNIOR CHEF SHOWDOWN SEASON 1 ONLINE AGREEMENT AND RELEASE (THE “ONLINE AGREEMENT”) As an inducement to LBC Productions Limited (the “Producer”) to consider my child as a participant in the first season of the television program currently entitled “Junior Chef Showdown” (the “Program”), I have completed and submitted the Online Application. In addition to the Online Application, this Online Agreement contains the terms and conditions regarding my child’s potential participation as a participant (“Participant”) in the Program (the Online Application and the Online Agreement together, the “Application”). I, on behalf of my child, myself and all of my heirs, administrators and executors, for good and valuable consideration, the receipt of which is hereby acknowledged, hereby agree as follows: 1. I have answered all questions honestly and to the best of my ability, and if any of the information in this Application is found to be false or incomplete, this will be grounds for dismissal from the participant selection process and/or from the Program, if selected, and may also result in the forfeiture of any prizes or other items that may have been awarded, if any (whether or not they have already been received). 2. I understand and acknowledge that although the Producer reviews all Applications, the Producer will be unable to reply to all applicants individually. I understand that I will only hear from the Producer if my child is being considered for an audition. 3. (a) To be eligible to be considered a Participant in the Program and any competition in the Program, I confirm that my child: (i) is between 8 and 13 years of age at the time I submit this Application and I may be required to provide proof of my child’s age and residency; (ii) is a Canadian citizen or permanent resident of Canada, and a resident of Ontario; (iii) is of sound mind and in good health; (iv) is not a member of any performers union or guild; and (v) must be available and able to commit to all the filming days required. (b) I further represent, warrant, and agree that: (i) I am the sole owner of all right, title and interest (including copyright and all underlying rights therein) in and to any photos and/or videos (“Submitted Content”) submitted/uploaded in the Application; (ii) I agree to keep strictly confidential all information about the Program that I acquire during the participant selection process and/or my child’s participation in the Program, including but not limited to any information concerning or relating to the Program, the Program applicants, the Program participants, the Program judges, the location(s) of the Program, the events contained in the Program, or the outcome of any contest in or episode of the Program, that I read, hear or otherwise acquire or learn in connection with or as a result of my child applying to be a participant on the Program or (if my child is selected to be a participant) as the result of my child’s experiences as a participant on the Program (collectively, the “Information and Materials”); (iii) all decisions by Producer concerning selection of the participants are final and not subject to challenge or appeal; (iv) I shall not give or agree to give any member of the production staff and anyone associated in any manner with the Program, or any representative of the Producer or Corus Media Holdings Inc. (“Broadcaster”) any compensation or anything else of value to arrange my child’s appearance on the Program or to accept or agree to accept anything of value to promote any product, service or venture on the Program, or use any prepared material containing such a promotion; and (v) I am not an employee of the Producer, the Program sponsors, the Broadcaster and each of their respective affiliates, subsidiaries, related companies, advertising and promotional agencies, household members and immediate family (spouses, parents, siblings and children, regardless of where they reside) of any of the above. I understand that the children of these individuals are NOT eligible for consideration to participate in the Program. 4. (a) I irrevocably grant to Producer and its parent, subsidiary, affiliated and related companies assigns and licensees (individually and collectively, the “Producer”), throughout the universe in perpetuity; (i) right to tape, photograph and/or film my child, and to record my child’s voice, conversation and sounds in any in-person or video interview (the “Application Recording”), of which Producer will be the sole and exclusive owner; (ii) the sub-licensable right (but not the obligation) to exploit, exhibit, reproduce, distribute, display and otherwise use, in whole or in part: (i) the Application Recording; and (ii) any Submitted Content; and (iii) the right to use my or my child’s name, likeness and biographic information (together, the Likeness”), in connection with the production, distribution, exploitation, advertising and publicity of the Program (including, without limitation, promotional films, electronic press kits and so called “making of”, "behind-the-scenes" or “outtake” programs and interviews and other bonus DVD materials) and in the exercise of all subsidiary, ancillary and related rights therein, in any manner and media whatsoever, whether now known or hereafter devised, worldwide, in all languages and in perpetuity, provided that in no event shall my Application Recording, Submitted Content or Likeness (collectively, the “Materials”) be used in the form of an endorsement of any product or service in the Program without my prior approval. (b) I represent and warrant that the Submitted Content: (i) contains images of only my child or my family (if any person appears in either the photos or videos); (ii) do not contain any material, language or gesture that is libelous, defamatory, indecent, profane, obscene or violent; (iii) do not contain any sexual references and/or content; (iv) are original and that I own or control, to the full extent necessary for Producer to use my Submitted Content, all right, title, and interest (including copyright and all underlying rights therein) in my Submitted Content; (v) do not infringe upon the intellectual property or other statutory or common law rights of any third party; (vi) do not contain any recognizable logos or any other copyrighted material (including on the clothing I am wearing in the Submitted Content); (vii) do not contain any mention, endorsement, or “plug” any commercial product, service, venture or thing, including, without limitation, the name of my employer; and (viii) has not been submitted in connection with any other production and/or promotional campaign. (c) I hereby release and forever discharge Producer, Broadcaster and each of their respective parent, subsidiary, affiliated and related companies, assigns and licensees, each of their respective directors, officers, employees, agents, suppliers and contractors, each of their respective heirs, executors, administrators, personal representatives, successors in interest and title and assigns, as well as any television station or channel, cable network, satellite network or any digital platform that exhibits the Program, the other participants in the Program, the advertisers and promotional agencies connected with the Program, and all other persons and entities connected with the Program (collectively, the “Released Parties”), of and from any and all actions, causes of actions, obligations, liabilities, claims, complaints, and demands of every nature or kind which I may hereafter have (including, without limitation, defamation, libel, slander or invasion of privacy or appropriation of personality and any statutory entitlements) arising from the Application Recording, Submitted Content, Likeness, this Online Agreement, and/or the rights granted by me under this Online Agreement (collectively, the “Released Claims”). The Released Claims specifically include, without limitation, any and all claims, actions, damages, liabilities, losses, costs and expenses (including legal fees) of any kind resulting from the actions of another participant or any other third party at any time. (d) I acknowledge that I am not entitled to enjoin, restrain or interfere with the production, distribution and exploitation, or advertising and publicity of the Program. (e) I hereby waive any so-called “moral rights” and any right of privacy or personality which I may have in and to the Application Recording or Submitted Content in any and all forms of media whether now known or hereafter devised with no further consideration payable to me. (f) The Producer assumes no responsibility for any claims of infringement of rights to intellectual property, privacy and/or personality, related to the Application Recording or Submitted Content and/or participation with respect to the Program. 5. (a) I understand and agree that: (i) submission of the Application and compliance with the above eligibility requirements does not in any way constitute an offer for my child to appear on the Program; (ii) I will only be contacted/notified by the Producer if my child is being considered as a potential Participant and if the Producer selects my child as a potential Participant, I must complete and return any documents that may be furnished to me by the Producer including, but not limited to, confidentiality agreement(s), questionnaires, codes of conduct, pertinent medical information on my child including any allergies or any pre-existing medical conditions, and/or requests for additional information as required by the Producer, within the timeline prescribed by the Producer; (iii) the Producer is not responsible, for any reason whatsoever, for my failure to receive notification; (iv) in order for my child to be confirmed as a Participant, I must return an executed Participant release form to the Producer on such date as requested and required by Producer. If I fail to return the executed Participant release form before the prescribed deadline, the Producer (at its sole discretion) may disqualify my child and select another participant; (v) I will not be paid any money for granting all rights herein, or for submitting the Application, the sole consideration for which being the Producer’s consideration of my child as a possible participant in the Program, which I acknowledge is good, valuable and sufficient; and (vi) I agree to take any further action, in writing (including, without limitation, confidentiality agreement, execution of affidavits, assignments, and/or other documents), reasonably requested by Producer to effect, perfect or confirm Producer’s and Broadcaster’s rights in the Materials or otherwise in connection with this Application and the rights granted by me hereunder. 6. (a) By submitting the Submitted Content, I: (i) grant to the Producer the right to use the Submitted Content, name, mailing address, telephone number, e-mail address and all information included on my Application and/or in my Submitted Content (collectively the “Personal Information”) for the purpose of administering the Application, including but not limited to contacting and confirming my child as a Participant; (ii) authorize the Producer to conduct civil, criminal, financial and/or any other type of background check deemed necessary by the Producer; (iii) grant to the Producer the right to use certain elements of my Personal Information as appropriate, (including without limitation, the Submitted Content, name, city and/or province and/or other information included on the submission form) for publicity and promotional purposes relating to the Application and/or the Program, in any and all media now known or hereafter devised, without further compensation unless prohibited by law; and (iv) acknowledge that the Producer may disclose my Personal Information to third-party agents and service providers of the Producer, in connection with any of the activities listed in (i), (ii) and (iii) above. (b) I acknowledge and agree that any such information obtained by Producer pursuant to this section 6, this Application or otherwise may be used for the purpose of making casting and other similar decisions for the production (and public viewing) of this Program, and for making casting decisions for any future programs to be produced by Producer or its affiliates, and, with the exception of medical information, may be described, disclosed or otherwise used in and in connection with the Program (by Producer or Broadcaster), any subsequent seasons of the Program, and any ancillary or related productions, including “making-of” and “behind-the-scenes” or “after show” productions, and/or for publicity and promotional purposes related thereto. (c) The Producer will use my Personal Information only for the identified purposes herein, and protect my Personal Information in a manner that is consistent with Corus’s Privacy Policy at: https://www.corusent.com/privacy-policy. 7. I understand and agree that the Producer reserves the right, in its sole discretion, to terminate the Application, in whole or in part, and/or modify, amend or suspend the Application in any way, at any time, for any reason without prior notice. 8. I understand this Application is in no way sponsored, endorsed, administered or associated with any social media platforms on which the Application may have been promoted and/or publicized. 9. I acknowledge and agree that the Information and Materials are confidential and the exclusive property of Producer or Broadcaster. At no time will I ever, directly or indirectly, divulge in any manner or use or permit others to use any of the Information and Materials. I acknowledge that in the event I breach the confidentiality or any other provisions of this Application, my breach may, in the sole discretion of Producer and/or Broadcaster, result in my child being disqualified to participate as a participant in the Program. I further acknowledge that a breach by me of any of the confidentiality provisions of this Application would cause Producer and Broadcaster irreparable injury and damage that cannot be reasonably or adequately compensated by damages in an action at law, and, therefore, I hereby expressly agree that Producer and Broadcaster shall be entitled to injunctive and other equitable relief to prevent and/or cure any breach or threatened breach of any of the confidentiality provisions of this Application by me. I also recognize that proof of damages suffered by Producer and Broadcaster in the event that I breach any of the confidentiality provisions of this Application will be costly, difficult, and/or inconvenient. Accordingly, I agree to pay Producer and Broadcaster the sum of One Million Canadian Dollars (CDN$1,000,000.00) per breach plus disgorgement of any income that I may receive in connection with my breach as liquidated damages in the event I breach any of the confidentiality provisions of this Application prior to the initial public exhibition of the final episode of the Program. I agree that One Million Canadian Dollars (CDN$1,000,000.00) plus disgorgement of any income that I may receive in connection with my breach is a reasonable estimate of the amount of damages Producer and Broadcaster are likely to suffer in the event I breach any of the confidentiality provisions of this Application prior to the initial public exhibition of the final episode of the Program, considering all of the circumstances existing as of the date of this Application. In addition, I agree to pay Producer and Broadcaster the sum of One Hundred Thousand Canadian Dollars (CDN$100,000.00) per breach plus disgorgement of any income that results from my breach as liquidated damages in the event I breach any of the confidentiality provisions of this Application after the initial public exhibition of the final episode of the Program. I agree that One Hundred Thousand Canadian Dollars (CDN$100,000.00) plus disgorgement of any income is a reasonable estimate of the amount of damages Producer and Broadcaster are likely to suffer in the event I breach any of the confidentiality provisions of this Application after the initial public exhibition of the final episode of the Program, considering all of the circumstances existing as of the date of this Application. 10. I understand and agree that the Producer has no obligation to produce, release or televise the Program or to use any aspect of the materials created and/or submitted in connection with the Application and/or the Program, including the Materials. For greater clarity, the Producer is not obligated to post my Submitted Content to any public viewing galleries or use my Submitted Content in any other way or have my child appear in the Program. The Producer shall have the right at any and all times and in its sole discretion to remove or replace my child as a Participant in connection with the Application for any reason or no reason. Even if my child is selected, and even if my child participates as a Participant in the Program or any part thereof, the Producer is not obligated to exhibit, broadcast or otherwise use or exploit the Materials, the Program or any part of either. Furthermore, the Producer may exhibit the Program with or without the Materials or any portion thereof, as determined by the Producer in its sole discretion. I understand and agree that the total amount of air time, if any, featuring or including my child as a Participant shall be determined by the Producer in its sole discretion. 11. I acknowledge and agree that (i) the provisions of this Application shall enure to the benefit of the successors and assigns of Released Parties and shall be binding upon my heirs, executors, administrators and representatives, (ii) this Application will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein and that the courts of Ontario will have exclusive jurisdiction over any matter arising out of this Application, (iii) if any provision of the Application is invalid, illegal, or unenforceable in any jurisdiction it will, as to that jurisdiction be ineffective only to the extent of such invalidity, illegality or unenforceability, without affecting in any way the remaining provisions hereof in such jurisdiction or rendering that or any other provision of this Application is invalid, illegal or unenforceable in any other jurisdiction, (iv) Producer and or Broadcaster reserve the right to change the terms and conditions of this Online Agreement and Release, the Online Application, and Corus’s Privacy Policy at any time without notice and (v) that Released Parties may freely assign, in whole or in part, any of their rights or obligations under the Application and I may not assign my rights and obligations under this Application. THANK YOU FOR COMPLETING THIS ONLINE APPLICATION. WE WILL BE UNABLE TO REPLY TO ALL APPLICANTS INDIVIDUALLY. IT COULD BE SEVERAL WEEKS BEFORE YOU HEAR FROM US, IF AT ALL, AND YOU WILL ONLY HEAR FROM US IF WE ARE INTERESTED OR HAVE FURTHER QUESTIONS. PLEASE NOTE THAT THIS ONLINE APPLICATION DOES NOT IN ANY WAY CONSTITUTE AN OFFER TO PARTICIPATE IN THE PROGRAM. IF YOU HAVE INDICATED ON THE ONLINE APPLICATION THAT YOU WISH TO BE CONSIDERED FOR PARTICIPATION IN THE PROGRAM, YOUR PERSONAL DETAILS WILL BE INCLUDED IN A DATABASE COMPILED FOR THIS PURPOSE. IN THE EVENT THAT YOU DO PARTICIPATE IN THE PROGRAM, THEN PRIOR TO AND AS A CONDITION FOR YOUR PARTICIPATION, YOU WILL BE REQUIRED TO SIGN A SEPARATE PARTICIPANT FORM PACKAGE WHICH WILL BE PROVIDED BY PRODUCER AND WILL INCLUDE, BUT NOT BE LIMITED TO A PARTICIPANT AGREEMENT AND RELEASE. SUCH AGREEMENT WILL PROVIDE THAT IN CONSIDERATION OF YOUR PARTICIPATION IN THE PROGRAM, WE WILL OWN ALL OF THE RIGHTS IN THE PROGRAM INCLUDING YOUR CONTRIBUTION WHICH WILL BE FREELY AVAILABLE FOR BROADCAST AND ALL OTHER MEDIA PURPOSES WITHOUT ANY PAYMENT TO YOU. THE INFORMATION YOU SUPPLY ON THIS ONLINE APPLICATION MAY BE STORED BY PRODUCER ON COMPUTER AND WILL ONLY BE USED IN ACCORDANCE WITH THE FOLLOWING TERMS AND CONDITIONS AND PRIVACY POLICY.
